These Terms and Conditions (“Terms”) govern your access to and use of the website, courses, materials, and services provided by Top Grade Test Prep LLC (“Company,” “we,” “us,” or “our”). By purchasing a course, creating an account, or otherwise using our website, you (“Customer,” “Student,” “Parent,” or “you”) agree to be bound by these Terms. If you do not agree, please do not purchase or use our services.
These Terms apply to all courses offered by Top Grade Test Prep LLC, including but not limited to test preparation for the TACHS Exam, the SHSAT, and any other current or future exams, tests, or licensing assessments we offer preparation for.

1. Eligibility and Account Registration
1.1 Our courses are designed to help students and individuals prepare for a variety of exams and tests, and purchases may be made by the student, an adult learner, or a parent or legal guardian on behalf of a student.
1.2 If you are under 18 years of age, a parent or legal guardian must purchase the course and agree to these Terms on your behalf.
1.3 You agree to provide accurate, current, and complete information when creating an account or making a purchase, and to keep this information up to date.
1.4 You are responsible for maintaining the confidentiality of any login credentials associated with your account and for all activity that occurs under your account.

2. Course Enrollment and Access
2.1 Upon successful payment, you will receive access to the applicable course materials for the duration specified at the time of purchase (the “Access Period”).
2.2 Course access is granted for personal, individual use only. Sharing login credentials, course materials, or access links with individuals who have not purchased the course is strictly prohibited.
2.3 We reserve the right to suspend or terminate access to any account found to be in violation of these Terms, including unauthorized sharing or distribution of course content.
2.4 Course content, schedules, instructors, and formats may be updated or modified from time to time to improve the quality of instruction. We will make reasonable efforts to notify enrolled students of any material changes.

3. Payments and Pricing
3.1 All prices are listed in U.S. Dollars (USD) unless otherwise stated and are subject to change without notice. The price you pay at checkout is the price that applies to your enrollment.
3.2 Payment is due in full at the time of enrollment unless a payment plan is explicitly offered and selected at checkout.
3.3 If you select a payment plan, you authorize us to charge the agreed-upon installments to your provided payment method on the scheduled dates. By selecting a payment plan, you agree to make all scheduled payments in full. If any payment is missed, declined, or not received by its due date, you will have 72 hours to rectify the payment. If the payment is not rectified within that 72-hour period, your access to the course will be suspended or terminated, and you will not be entitled to a refund of any amounts already paid. Restoring access after a missed payment may require payment of all outstanding amounts in full.
3.4 We use third-party payment processors to handle transactions. We do not store your full payment card information on our servers.

4. Refund Policy
4.1 We want our students to feel confident in their enrollment. Refund requests will be handled according to the policy below, unless a different policy is specified for a particular course at the time of purchase.
4.2 Refund Window: Customers may request a full refund within 14 days of the original purchase date, provided that less than 20% of the course content has been accessed and the customer has not downloaded any included materials (e.g., the prep journal or workbook PDFs).
4.3 Non-Refundable Items: One-on-one coaching, printed materials, and practice exam fees that have already been scheduled, used, or shipped are non-refundable once the service has been rendered or the materials have been delivered.
4.4 How to Request a Refund: Refund requests must be submitted in writing to [Insert Contact Email]. Approved refunds will be issued to the original payment method within [Insert Number] business days.
4.5 We reserve the right to deny refund requests that we reasonably determine to be made in bad faith, including repeated enrollment and refund requests intended to gain extended access to course materials without payment.

5. Intellectual Property
5.1 All course materials, including but not limited to video lessons, practice tests, worksheets, study guides, presentations, and written content, are the exclusive property of Top Grade Test Prep LLC and are protected by copyright and other intellectual property laws.
5.2 You are granted a limited, non-exclusive, non-transferable license to access and use course materials for your own personal, educational use during your Access Period.
5.3 You may not copy, reproduce, distribute, publicly display, resell, or create derivative works from any course materials without our prior written consent.
5.4 Any unauthorized use of our intellectual property may result in immediate termination of access without refund, and we reserve the right to pursue all available legal remedies.

6. Student Conduct
6.1 Students and parents agree to use our courses and any associated communication platforms (such as discussion forums or messaging tools) respectfully and appropriately.
6.2 We reserve the right to suspend or terminate account access for conduct that is disruptive, abusive, harassing, or otherwise inappropriate, without obligation to issue a refund.

7. Course Content and No Guarantee of Results
7.1 Course content, including video scripts and written materials, is developed and written by our experienced education team. Some videos may be presented using AI-generated avatars or AI video tools, though the underlying scripts, lessons, and educational content are created by our team. Artificial intelligence (AI) tools may also be used to assist in the creation of certain supplementary materials, such as practice questions or explanations. All AI-assisted or AI-presented content is reviewed as part of our course development process, and the educational judgment behind our courses remains the responsibility of our team.
7.2 Top Grade Test Prep LLC provides test preparation instruction, strategies, and practice materials designed to help students and individuals improve their performance on a variety of exams and tests, including but not limited to the TACHS, the SHSAT, and licensing exams such as driver’s license tests.
7.3 We do not guarantee any specific test score, percentile ranking, admission outcome, licensing result, or acceptance to any particular school, program, or certification. Exam results depend on numerous factors outside our control, including individual student effort, preparation time, and exam-day performance.
7.4 Any testimonials, sample score improvements, or success stories referenced on our website or in our marketing materials reflect individual experiences and are not a guarantee of similar results for every student.

8. Limitation of Liability
8.1 To the fullest extent permitted by law, Top Grade Test Prep LLC, its owners, employees, instructors, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of our courses or website, including but not limited to lost opportunities, missed admissions deadlines, or exam outcomes.
8.2 Our total liability to you for any claim arising from your purchase of a course shall not exceed the amount you paid for that specific course.
8.3 Our website and course platforms are provided on an “as is” and “as available” basis. We do not guarantee that our website or course platforms will be uninterrupted, error-free, or fully secure at all times.

We may share your information with trusted third-party service providers who help us operate our business, such as payment processors, course hosting platforms, and email or marketing tools, solely for the purpose of providing our services to you.
